Terms of Service

1. Introduction

These Terms of Service ("Terms") govern the provision of consulting, advisory, and compliance services ("Services") provided by blueInnovate.io ("We," "Our," or "Us") to the client ("Client," "You"). By engaging with our Services, You agree to comply with and be bound by these Terms.

2. Services Provided

We offer cybersecurity, regulatory compliance, and legal advisory services, including but not limited to:

  • Cybersecurity risk assessments.

  • Data protection and privacy compliance (GDPR, NIS2, DORA, etc.).

  • Third-party contract reviews.

  • Legal framework development for compliance with relevant regulations.

  • Training and educational programs on cybersecurity and compliance topics.

We reserve the right to modify or discontinue services at any time, provided the Client is notified in advance.

3. Client Obligations
  • The Client agrees to provide accurate, up-to-date information required for the provision of Services.

  • The Client is responsible for ensuring that they comply with all applicable laws and regulations.

  • The Client agrees to pay all fees associated with the Services as outlined in the engagement agreement.

4. Fees and Payment

Fees for Services are agreed upon in advance between blueInnovate.io and the Client. Payment is due as outlined in the engagement agreement. Unless otherwise agreed, invoices are payable within 15 days from the date of issuance.

5. Confidentiality

Both parties agree to keep any confidential information shared during the course of the Services confidential. This includes, but is not limited to, any proprietary business information, sensitive data, and any other information deemed confidential. Confidentiality obligations will remain in effect after the termination of this agreement.

6. Intellectual Property
  • All intellectual property rights in the work we produce during the provision of Services (including reports, presentations, frameworks, etc.) remain the property of blueInnovate?ui unless otherwise specified in the engagement agreement.

  • The Client is granted a non-exclusive, non-transferable license to use the deliverables provided for internal purposes only.

7. Limitation of Liability

To the maximum extent permitted by law, blueInnnovate.io] will not be liable for any indirect, incidental, special, or consequential damages arising from the use of our Services. Our total liability shall not exceed the total amount paid by the Client for the Services rendered in the 12 months preceding the claim.

8. Cancellation and Rescheduling
  • If the Client needs to cancel or reschedule a session, they must notify blueInnovate.io at least 7 business days in advance. Failure to do so may result in a cancellation fee.

  • We reserve the right to cancel or reschedule any session due to unforeseen circumstances, in which case we will provide the Client with as much notice as possible.

9. Data Protection and Privacy
  • We will process Client data in compliance with applicable data protection laws, including GDPR. For more information, please refer to our Privacy Policy.

  • By using our Services, the Client acknowledges that they have read and agreed to our Privacy Policy.

10. Termination

Either party may terminate this agreement with 30 days' notice. Upon termination, the Client will pay for any Services rendered up to the termination date.

11. Governing Law

These Terms are governed by the laws of France. Any disputes arising from these Terms will be resolved in the competent courts of Paris.

12. Changes to Terms

We reserve the right to modify or update these Terms at any time. Any changes will be posted on this page with the updated date. By continuing to use our Services, the Client agrees to the revised Terms.
